1. המידע - כללי

האתר בכללותו - כולל כל המידע המופיע בו והתוכנה העומדת בבסיסו מוצע לציבור כמות שהוא (As Is). אמנם, נתכוונה החברה כי המידע יהיה נכון ומדויק ואולם, יתכן והמידע אינו שלם ולחליפין יתכן ונפלו טעויות טכניות או אחרות במידע. החברה אינה אחראית לאי דיוקים, או לטעויות שנפלו ביחס למידע. החברה מבהירה בזאת שהמידע הכלול באתר הינו למטרות כלליות ואינפורמטיביות בלבד ואינו מהווה המלצה ו/או חוות דעת ו/או הצעה לרכישת מוצר כלשהו או למתן שירות כלשהו, ועל כן מודע המשתמש ומסכים לכך שכל הסתמכות על הצהרות, הבעות עמדה, עצות או כל מידע אחר המוצג באתר נעשה לפי שיקול דעתו של המשתמש ובאחריותו הבלעדית. יתכן וחלק מהמידע מקורו מצדדים שלישיים, מובן שלחברה אין כל אחריות בגין מידע מעין זה, ואין החברה ערבה למידת הדיוק של מידע זה. תכונות, מפרטים, עיצוב או חזות של מוצרים המתוארים או מוצגים באתר לרבות כל תמונה או הדמייה של מוצר הכלולים באתר הינם לצורכי המחשה בלבד אלא אם נאמר אחרת. במידה ותתגלה אי התאמה ו/או סתירה בין המידע באתר לבין מידע הקיים במסמכיה הרשמיים של החברה, לרבות מידע שנמסר על ידי עובדי החברה, בין אם בכתב ובין אם בעל פה, ייחשב כנכון המידע הנמצא במשרדי החברה, במסמכיה הרשמיים, או שנמסר על ידי עובדי החברה.



2. זכויות יוצרים

האתר והתוכן המופיעים בו לרבות עיצוב האתר, שרטוטים, תרשימים, איורים, צילומים, תמונות, מפות, קטעי, אודיו, קטעי וידאו, טקסט, גרפיקה וכיוב' (להלן - "המידע") מוגנים ע"י חוקי זכויות יוצרים של מדינת ישראל, אמנות בינ"ל וחוקי זכויות יוצרים של מדינות אחרות. המידע הוא קניינה של החברה או של צדדים שלישיים אשר התירו לחברה לפרסם את המידע נשוא זכויות היוצרים באתר. נאסר על המשתמש להכניס שינויים, להעתיק, לפרסם, להפיץ, לשדר, להציג, לבצע, לשכפל, להנפיק רשיון, ליצור עבודות נגזרות או למכור כל חלק מן המידע הכלול באתר ללא הסכמתה הכתובה והמפורשת של החברה. המשתמש מכיר בזכויות היוצרים הקיימות במידע ומתחייב שלא לעשות כל שימוש מסחרי במידע או כל שימוש בניגוד לאמור בדיני זכויות היוצרים ובאמנות בינ"ל, או לגרום לכל שינוי או סילוף במידע או בכל חלק הימנו.



3. סימני מסחר, מותגים

הסימנים הבאים: סמל החברה, "NILI-PEARL PROJECT", SEA PEARAL, וסמלו, וכן כל סימן רשום אחר של החברה ו/או מי מן החברות בקבוצה, בין אם מצוין בצדם הסימון ובין אם לאו, הם סימני מסחר רשומים ולכן קניינה של החברה, או מותגים בבעלות החברה, אשר השימוש בהם מותר בלעדית לחברה. כל הסימנים האחרים המצויים באתר הם סימני מסחר, או מותגים קנייניים של בעליהם, בהתאמה. לא תיעשה כל פעולה העלולה לפגוע בזכויות הקניין על סימני המסחר או המותגים.



4. מצביעים וקישורים אלקטרוניים (Links)

באתר זה עשויים להכלל קישורים לאתרי אינטרנט שאינם מופעלים ע"י החברה. קישורים אלו נועדו לנוחיותך בלבד אין לחברה שליטה על אתרי אינטרנט אלה, ואין היא נושאת באחריות לתכנים המופיעים באתרים אלו. אין בהכללת קישורים לאתרים אחרים כדי להעיד על תמיכה בתוכן של אתרים אלו או על כל קשר אחר לאתרים אלו או למפעיליהם. החברה אינה מתחייבת לתקינות הקישורים, או לכך שקישורים אלו מכוונים לאתרים אשר אליהם מתיימר כל מצביע אלקטרוני לקשר. החברה רשאית לפי שיקול דעתה הבלעדי להסיר כל קישור מהאתר ו/או להוסיף קישורים נוספים.



5. חובות המשתמש

עצם השימוש באתר ופעילות המשתמש מעידים על הסכמת המשתמש ולהתחייבותו לפעול או להימנע מלפעול כדלקמן:

5.1.
המשתמש מסכים לכל האמור בתנאי השימוש לעיל ולהלן.

5.2.
המשתמש מתחייב שלא להעלות, לשלוף, לשדר, להפיץ או לפרסם מידע או חומר אחר העלול להגביל או למנוע מאחרים את השימוש באתר;

5.3.
המשתמש מתחייב שלא להעלות, לשלוף, לשדר, להפיץ או לפרסם מידע או חומר אחר האסור לפרסום או לשימוש, בשל היותו בגדר איום, פגיעה, העלבה, הוצאת דיבה, השמצה, גזענות, פורנוגרפיה או ביטוי וולגרי אחר;

5.4.
המשתמש מתחייב שלא להעלות, לשלוף, לשדר, להפיץ או לפרסם מידע או חומר אחר העלול לעודד, לשדל, להמריץ או לסייע לאחר לבצע מעשה האסור על פי חיקוק או העלול לעורר אחריות משפטית;

5.5.
המשתמש מתחייב שלא להעלות, לשלוף, לשדר, להפיץ או לפרסם מידע או חומר אחר העלול להפר זכויות קניין של אחר, לרבות, זכויות קניין רוחני, זכויות להגנת הפרטיות ו/או כל זכות קניינית אחרת;

5.6.
המשתמש מתחייב שלא להעלות, לשלוף, לשדר, להפיץ או לפרסם מידע או חומר אחר הכולל וירוס או תוכנה אחרת העלולה לחבל במערכות מחשב;

5.7.
המשתמש מתחייב שלא להעלות, לשלוף, לשדר, להפיץ או לפרסם מידע או חומר אחר הכולל פרסומת מכל סוג שהוא בלי הרשאה מפורשת מראש של החברה.

5.8.
המשתמש מתחייב שלא לעשות כל שימוש מסחרי במידע.

5.9.
המשתמש מודע למגבלת רשת האינטרנט לגבי אבטחת מידע ברשת ומשחרר את החברה מכל אחריות בעניין זה.

5.10.
המשתמש מתחייב לא להשתמש באתר באופן שאינו תואם לכל דין ו/או שאינו מוסכם או שמהווה זיוף, שינוי או מחיקת מידע;

5.11.
המשתמש מסכים לשפות ולפצות את החברה בגין כל נזק, ישיר או עקיף ו/או כל הוצאה שייגרמו לחברה בקשר לתביעה ו/או לדרישה הנובעות מביצוע הסכם זה.

5.12.
המשתמש מסכים כי, מבלי לפגוע בכל זכות אחרת של החברה, במקרים בהם החברה תחשוש כי השימוש של המשתמש באתר אינו מתיישב עם הוראות הסכם זה ו/או כל דין, תהא החברה רשאית להתחקות אחר השימוש של המשתמש באתר, למנוע מהמשתמש גישה לאתר, או להעביר את דפוסי התנהגות המשתמש באתר לצדדים שלישיים אשר יוכיחו, להנחת דעתה של החברה, כי הינם נפגעים מפעילות המפרה של המשתמש וכן כל פעולה אחרת אשר החברה תמצא לנכון לנקוט כדי להגן על קניינה ו/או על זכויותיה.



6. מיאון אחריות

השימוש באתר נעשה על אחריות המשתמש. החברה אינה נושאת בכל אחריות או חבות בגין כל שיבוש, טעות או השמטה בתכולת האתר. החברה לא תהא אחראית לכל נזק, ישיר, עקיף, תוצאתי או אגבי עקב גישה לאתר, והשימוש בו או עקב מניעה כלשהי מהגישה או השימוש באתר, בין בעילה חוזית ובין בעילה נזיקית.
החברה אינה אחראית לכל נזק, לרבות בשל "וירוסים" או יישומי תוכנה למיניהם, לציוד המחשב של המשתמש או לכל רכוש אחר של המשתמש, שיגרמו בשל גישה, גלישה או שימוש באתר, ובכלל זאת, בשל הורדת מידע מהאתר.

אין החברה יכולה לפקח על כל מידע והודעה המועלים, אם יועלו, על האתר על ידי משתמשים אחרים.

האמור בסעיף זה מתווסף לכל אמירה המיוחסת לאחריות החברה בקשר לתנאי השימוש ואין בכוונת סעיף זה להחליף אמירות נוספות באשר לאחריותה של החברה בהקשרים ספציפיים כדוגמת אחריות בגין קישורים, אחריות בגין הגנת הפרטיות, אחריות בגין פעולה בלתי מורשה של משתמשים או בכל הקשר אחר, והכל כמפורט בתנאי השימוש על סעיפיו השונים ו/או במלל הכלול באתר עצמו.



7. הגנה על הפרטיות ומאגרי מידע

7.1.
בכפוף לסעיף 5.12 לעיל ולאמור בסעיף 7 זה, מתחייבת החברה , שלא למסור נתונים אישיים של המשתמש, למעט לספקי ציוד ו/או שירותים של החברה בקשר לתפעול האתר. על אף האמור לעיל, מובהר בזאת כי החברה תשתף פעולה עם כל רשות אכיפה ותציית לכל צו שיפוטי המורה לחברה לגלות את זהותו של המשתמש אשר פעל לכאורה בניגוד לחוק, או תוך הפרת זכויות הזולת. כן רשאית החברה להשתמש בפרטים שמסר המשתמש במסגרת ביקורו באתר, לצורך ניתוח ומסירת מידע סטטיסטי או אחר לצדדים שלישיים ובלבד שמידע כאמור לא יזהה את המשתמש אישית באופן שמי.

7.2.
משתמשים אשר ימסרו את פרטיהם בתיבות "צור קשר" שבאתר, נותנים בזאת הסכמתם להכללתם במאגרי המידע שמנהלת החברה בהתאם לחוק הגנת הפרטיות 1981- התשמ"א (להלן- "החוק"). המאגרים ישמשו את netanyanili-peral,חברות נוספות בקבוצה וחברות קשורות בפרויקטים משותפים. משלוח דואר בדיוור ישיר כפוף להסכמת המשתמש כמפורט בגוף האתר.



8. שונות

החברה שומרת לעצמה את הזכות, להסיר, לתקן, להוסיף או לשנות כל חלק מהמידע המצוי באתר שימוש אלה על ידי עדכון האתר, מעת לעת. למשתמש לא תהא כל טענה כלפי החברה בגין שינויים במידע באתר.
החברה שומרת לעצמה את הזכות לסרב להעניק גישה לאתר זה או לכל חלק ממנו לכל משתמש על פי שיקול דעתה הבלעדי וללא כל התראה מוקדמת.

המשתמש מסכים שתשדורת מידע לאתר או ממשנו אינם יוצרים בינו לבין החברה כל קשר יחסים בין המשתמש לבין החברה אשר חורגים מעבר לאלה המפורטים בתנאי השימוש.

הפעילות באתר זה וכל עילה משפטית הנובעת מהשימוש באתר, לרבות תוקפם ופרשנותם של תנאי השימוש יוכפפו לדין הישראלי בלבד, וסמכות השיפוט הבלעדית בכל סכסוך הנוגע לאתר ולשימוש בו תהא נתונה לבתי המשפט המוסמכים בתל-אביב.

7. Protection of privacy and data banks

7.1
Subject to the provisions of Section 5.12 hereinabove and to the provisions of this Section 7, the Company undertakes not to provide personal details of the User, other than to the Company's equipment and/or services suppliers, in connection with operating the Site. Notwithstanding the foregoing, it is hereby clarified that the Company will cooperate with any enforcement agency and will comply with any judicial order directing the Company to disclose the identity of a User who apparently acted in violation of a law or in infringement of another's rights.
